Terms & Conditions

The following terms and conditions govern the provision of SMSF administration services by Udo Super Services Pty Ltd. By engaging our services, you agree to be bound by these terms.

1. Definitions
  • 'Udo', 'we', 'us', 'our' means Udo Super Services Pty Ltd (ABN 25 609 900 745)
  • 'Client', 'you', 'your' means the trustee(s) of the SMSF engaging Udo's services
  • 'Fund' means the self-managed superannuation fund administered by Udo on behalf of the Client
  • 'Services' means the SMSF administration, accounting, and related services described in this Service Guide
  • 'Commencement Date' means the date on which Udo begins providing Services to the Client
  • 'Fee Schedule' means the schedule of fees set out in Part 5 of this Service Guide, as amended from time to time
2. Scope of Services
2.1 Udo will provide the Services described in this Service Guide and the applicable service tier selected by the Client.
2.2 The Services do not include financial advice, investment advice, tax advice, or legal advice. Udo is not a financial adviser and does not hold an Australian Financial Services Licence (AFSL). Clients should obtain independent professional advice where appropriate.
2.3 Udo may engage third-party service providers (including auditors, actuaries, and legal document preparers) to assist in delivering the Services. Fees for third-party services may be charged separately as outlined in the Fee Schedule.
2.4 The scope of Services may be varied by mutual written agreement between Udo and the Client.
3. Client Obligations
3.1 The Client must provide Udo with all information and documents reasonably required to perform the Services, in a timely manner.
3.2 The Client is responsible for making all investment decisions relating to the Fund. Udo does not provide investment advice and is not responsible for investment outcomes.
3.3 The Client must notify Udo promptly of any changes to the Fund's circumstances, including changes to members, trustees, investment strategy, or contact details.
3.4 The Client acknowledges that delays in providing required information may result in delayed lodgement of tax returns and compliance documents.
3.5 The Client must maintain a Macquarie Cash Management Account as the Fund's primary operating account.
4. Fees and Payment
4.1 The Client agrees to pay the fees set out in the Fee Schedule applicable to their service tier.
4.2 Monthly administration fees are collected by GoCardless direct debit on or around the 1st of each month.
4.3 If a GoCardless direct debit fails, a late payment fee of $25 per month will apply until payment is made.
4.4 Udo reserves the right to suspend Services if fees remain unpaid for more than 60 days.
4.5 Establishment fees are payable upon engagement and prior to the commencement of establishment work.
4.6 Additional service fees are invoiced upon completion of the additional service and are payable within 14 days.
4.7 All fees are in Australian dollars and include GST unless otherwise stated.
4.8 Udo may adjust fees from time to time. Clients will receive at least 60 days written notice of any fee changes.
5. Fee Changes and Notice
5.1 Udo will provide at least 60 days written notice of any changes to the Fee Schedule.
5.2 If the Client does not agree to the revised fees, they may terminate the engagement by giving written notice during the 60-day notice period.
5.3 Continued use of Services after the effective date of a fee change constitutes acceptance of the revised fees.
6. Prepaid Plans
6.1 Clients may elect to prepay administration fees at a discounted rate as set out in the Fee Schedule.
6.2 If a Client on a prepaid plan terminates their engagement before the end of the prepaid period, a refund will be calculated on a pro-rata basis for unused months remaining, less a $250 administration fee.
6.3 Refunds are processed within 14 business days of written termination notice.
6.4 Prepaid plan pricing is locked for the duration of the prepaid period.
7. Termination
7.1 Either party may terminate this engagement by giving 60 days written notice to the other party.
7.2 Upon termination, Udo will complete any work in progress that has been paid for and provide the Client with all relevant records and documents.
7.3 The Client remains liable for any fees accrued prior to the effective date of termination.
7.4 Udo may terminate the engagement immediately if the Client fails to pay fees for more than 90 days, or engages in conduct that breaches superannuation law.
8. Confidentiality and Privacy
8.1 Udo will treat all Client information as confidential and will not disclose it to third parties except as required to perform the Services, as required by law, or with the Client's consent.
8.2 Udo's Privacy Policy is available at udosmsf.au/privacy and governs the collection, use, and storage of personal information.
8.3 Udo complies with the Australian Privacy Principles under the Privacy Act 1988 (Cth).
9. Limitation of Liability
9.1 To the maximum extent permitted by law, Udo's total liability to the Client under or in connection with this engagement is limited to the total fees paid by the Client in the 12 months preceding the claim.
9.2 Udo is not liable for any loss, damage, or expense arising from: (a) the Client's failure to provide information in a timely manner; (b) investment decisions made by the Client; (c) actions of third-party service providers; or (d) circumstances beyond Udo's reasonable control.
9.3 This clause does not exclude or limit liability that cannot be excluded or limited by law.
10. Dispute Resolution
10.1 If a dispute arises, the parties will first attempt to resolve it by direct negotiation in good faith.
10.2 If the dispute is not resolved within 30 days, either party may refer it to mediation.
10.3 The engagement is governed by the laws of New South Wales, Australia.
11. General
11.1 This Service Guide, together with any engagement letter signed by the Client, constitutes the entire agreement between the parties.
11.2 Udo may update this Service Guide from time to time. The current version will be available at udosmsf.au and upon request.
11.3 If any provision of these terms is found to be invalid or unenforceable, the remaining provisions continue in full force.
11.4 Udo may assign or subcontract its obligations under this agreement without the Client's consent, provided the quality of service is maintained.
